Buy @ $1.245
A new stock to my portfolio. Following Sam to buy….:D
They were part of the STX Group, Korea. Direct major shareholder was STX Europe, which is selling assets to reduce debts. Their 50.75% stake was acquired by Fincantieri @ $1.22, finalised on 23-Jan-13 and thus, currently doing a Mandatory Offer. The share price has tumbled down from $1.4x since the deal was announced in Dec-12, with a substantial shareholder (Oz) selling down their stake from 20% (Placement @ $1.33 in 8-Jul-11 with a lock up period till 12-Nov-12 (with attached conditions).
Story is very much like Neratel but, IMO, STX OSV is nowhere near as attractive as Neratel as Biz is highly cyclical – on down cycle now + Balance Sheet is not as strong – Low Net Cash.
From their Q3 (Sep) Financial Statements,
No time (too much CNY Spring Cleaning activities) to do a more detailed analysis (still have the Kingsmen one to do, haha…). Take a bet first using preliminary analysis. Q411 results were out on 14-Feb last year, should be out soon. They have also recently announced the IFA appointment, should take a couple of weeks at least to produce their recommendations.
PS. OSV means Offshore Support Vessel ie. their core biz is building vessels to support the Oil Exploration Industry, with main focus in the harsh sea condition of Northern Europe (that's likely why their main HQ is over there). They have shied away from Asia as they're unable to compete on cost. They have also started operations in Brazil, targetting the South America market.

"In October, STX Group, which is the South Korean parent of STX Europe, said that it was planning to aggressively improve their financial structure through overseas asset sales by the first quarter of 2013. One such sale included STX OSV, which was sold to Italy’s Fincantieri and raised a reported $600 million."
Sell @ $0.255.
After hitting $0.245/$0.25 in the AM, very strong buying started at 11am with buyer clearing the 25.5ct sell Q of 800+ lots. On a day when STI is -24, I think it may be a good idea to sell some as I have a lot. I doubt that it's Shares Buy-Back at 25.5ct, likely the 25ct ones only. But Q3 is end-Jan, perhaps some insiders may be privvy to their results and started accumulating? Or the usual traders trying to tag on momentum when they saw 25ct Q being cleared?? Let's see what happens in the coming days.
After this round of selling, I'm quite inclined to buy some back if it ever drop back to 25ct. Buyer CP = 17 (CIMB-GK Goh) mainly, followed by 20 (Phillip) and lastly 24 (ABN AMRO), interesting… 😀
Sell @ $1.21
Jump-Q @ 5pm to clear my last lots. Buyer CP '40' – Goldman Sachs
The new CEO has been buys with acquisitions funded by debts. The results are showing, with Revenue increasing but for now, NPM & EPS is dropping…. Not critical, but since I don't have a very large stake, decided to clear 1st. Will buy back if it drops but looks unlikely as many seems to be Yield-Hungry and buying up all the Yield stocks! 😀
Sell @ $2.70
Someone jumped Q me… Only 1 lot done! Minimum charges of $25 applies…
Someone's been patiently buying up for the past weeks, perhaps in anticiaption of a 2H Div = 8ct (same as last year) or seeing this as a laggard play. I still have a lot, will be selling more if prices go up, so that I can switch to other stocks or just keep some free cash. 😀
Buy @ $0.73, $0.725, $0.72, $0.715, $0.705
A new stock to my portfolio. They were halted since Friday, after market closed. The share price was running up then. There were a lot of positive speculations in VB forum that it's finally their dream G.O. coming true. This AM, they dropped a bombshell in their SGX Annc when they announced their results of a fraud / dishonesty investigations. The total amount involved is ~$1.5M which will be set off in their P/L. No one was fired but the case is now in the hands of CAD.
Their biz is in Interiors for shops (eg. Hour Glass, Motor Cars showroom,…) + Exhibitions + Theme Parks. Two unrelated main shareholders controolinmg ~50%. Net cash (according to VB forummers, the plan is to acquire their own premises) and decent yield ~6%. Net Profit is quite flat for the past 4 years but EPS shows a bit of growth as they had been doing shares buy back. The talk in VB forum had been on a good possibility of G.O. as both the major shareholders cum founders are getting old and are keen to retire.
Looking at their SGX Annc, what's committed doesn't seem that serious, more of internal control weakness / lapses. It doesn't appear it'll damage their reputation / credibility. BUT, it's not in the hands of CAD and well… CAD is less flexible on what's right or wrong… Very likely, some of the employees will be charged in court after weeks or even months of investigations. In the meanttime, there'll likely be fears that this may just be the tip of the iceberg…
Anyway, take a risk to buy. Will look more in depth into their financials on Sunday if I have the time… Will have to find time…:D
Sell @ $2.64
Has been moving up steadily. Very low volume, either someone's trying to push up (quite easy as low volume) or buying ahead of 2H results in anticipation of an 8ct Div (for past 2 years) or is hopeful that the worst may be over. But, note that annualised EPS = 15.4ct and there's always the possibility they may cut dividend payout further. Further, not sure how the latest Property Cooling Measures will affect them as they didn't seem to be enjoying from the Property Bull market anyway…
Queued since 9:21am and was partially done till 5pm close. Someone from CP = UBS did a 21 lot buy to ensure it closed @ $2.64, unchanged. Total Vol = 102,000 makes this look highly suspicious it's manipulation… 😀

Sell @ $0.255
Sold my most expensive ones (Buy @ $0.245 & $0.24 in Nov-12), in anticipation of an interim Div = 0.5ct min. On 10-Dec when 1H results was released, no interim div was declared. Coupled with a not so good 1H results, share price dropped all the way to 21.5ct. Too bad I was busy and had no free cash to buy more.
I was thinking they stopped the interim payout to conserve cash for their ~$27M purchase of an Industrial property but they surprised by starting their Shares Buy-Back on 20-Dec, followed by a more aggressive move on 3-Jan,
| Date | Qty | Avg Price |
| 5-Jan-13 | 3,021,000 | $0.25000 |
| 4-Jan-13 | 1,019,000 | $0.24500 |
| 3-Jan-13 | 8,366,000 | $0.24457 |
| 20-Dec-12 | 1,836,000 | $0.22759 |
The maximum Shares Buy-Back Price is capped at 105% of Avg Closing Price for 5 Working Days.
After the 3 days of aggressive Shares Buy-Back on 3-5 Jan, I was beginning to think this sudden urgency may be due to a possible good response for their 8Raja launch which'll free up lots of cash, now in their Balance Sheet under Development Properties = $75.4M + Profits. Coupled with their traditional strongest Quarter in Q3 (Jan), the NAV ought to be more than 26ct. I was hoping they will do their Shares Buy-Back up to 26ct.
Looks like I was wrong… No Shares Buy-Back after 5-Jan and daily volume had dropped, even though the possible max. buy back price had moved up to 26ct and there were sellers. I think they may have internally capped their Buy-Back price to a max of below current NAV = 25.17ct ie. 25ct. Makes sense as buying above NAV will not add value to shareholders as it reduces NAV.
Finally decided to take some profits, clear my most expensive ones and go into trading mode… 😀
NOTE
I have changed my BASE to include CASH as the larger denominator (Base) will give a more conservative performance figure (when making $$). The weakness of the previous base (which excludes cash) is that the Performance will be "enhanced" if I were to sell a lot of my stocks, thereby resulting in a smaller denominator (base).
Portfolio Breakdown
My portfolio (at cost) of S'pore stks for Q412 close,
So, +30.35% vs +19.68% (STI), better than STI. Quite unbelievable, hard to repeat in 2013!
